IDX.Marketing Digital Assistant Platform Agreement

This Engagement Letter (“Agreement”) governs your setup and ongoing use of the IDX.Marketing CRM platform ("Digital Assistant") with integrated Phone & SMS System and ongoing use of the IDX.Marketing AI-powered Digital Assistant. It is automatically accepted upon submission of payment.

By submitting payment, the Client (“you”) agrees to the terms below.

1. Purpose

This Agreement outlines the terms for your IDX.Marketing CRM setup, selected five (5) operations, business phone/SMS system integration, and AI Digital Assistant setup and ongoing service.

These one-time setup services configure your CRM for full business functionality — including automations, invoicing, communication, and AI-powered automation for lead management, follow-up, and client organization.

This Agreement does not include additional ongoing CRM subscriptions unless separately contracted.


2. What’s Included

A. CRM Setup & Operations

You may select up to five (5) setup operations from the following list. Each operation includes integration into your CRM system and post-setup testing to ensure full functionality.

  • CRM + One Automation Flow — $100

    • 1 flow triggered by 1 event, up to 5 steps

  • CRM + Invoice Automation — $100

    • Automated invoice sending, follow-ups, and reminders

  • CRM + Tax Settings for Invoices — $100

    • One-time setup for tax zones and rules

  • CRM + Contract Automation Setup — $100

    • Integration of client-provided contract file into CRM workflow

  • CRM + Form Creation — $200 per form

    • Includes form design, connection to automation or pipeline

  • CRM + Product/Service Upload — $100

    • Upload of up to 10 products or services for store, quotes, or invoices

  • CRM + Email Templates — $100

    • Two short email templates (nurture or confirmation messages)

  • CRM + Calendar Setup — $100

    • Calendar configuration with reminder flows and availability

  • CRM + Custom Fields Setup — $100

    • Up to 5 custom fields for detailed forms or segmentation

  • CRM + Client Pipeline Setup — $100

    • Visual sales/client flow setup with automation link

Each selected operation will be fully configured, integrated, and tested within your CRM system.


B. Business Phone & SMS System Setup

Includes full configuration of your dedicated business phone and SMS system within the CRM platform.

  • One-Time Fee: $350

  • Dedicated business phone number (inbound/outbound capable)

  • Integration with CRM contact records, pipelines, and automations

  • Testing to confirm call and text functionality

  • Compliance setup for A2P (Application-to-Person) registration

  • Opt-in landing page or message template for consent collection

  • Initial training on using call and text features responsibly


C. AI Digital Assistant Setup & Ongoing Service

Includes full setup of your AI Digital Assistant, customized to your workflows and connected to your CRM.

  • One-Time Setup Fee: $300

    • AI assistant configured to automate lead management, client communication, and follow-ups

    • Setup of pre-built automation templates for efficiency

    • Integration with your CRM pipelines, forms, and calendars

    • Personalization to reflect your business tone and process

    • Initial testing and onboarding session

Ongoing AI Monthly Service: $150/month

  • Continuous access to your AI assistant and its automation tools

  • Maintenance of all AI workflows and templates

  • Updates to AI models and automation capabilities

  • Priority support for AI-related questions or adjustments


3. Communication Usage (Pay-As-You-Go)

Communication features (texts, emails, and calls) are billed separately based on actual usage:

  • Outbound Calls: 60+ calls per $1

  • Inbound Calls: 100+ calls per $1

  • Text Messages: 100+ SMS per $1

  • Emails: 1,400+ emails per $1

You will see usage charges on your monthly statement. A detailed breakdown can be requested anytime via support ticket.

Communication usage charges are managed through your CRM’s billing system and are not included in this setup agreement.


4. Definition of “1 Automation”

One Automation = One flow triggered by a single event, with up to five (5) steps.

✅ Includes:

  • One trigger (e.g., form submitted, appointment booked, stage changed)

  • Up to five (5) actions, such as:

    • Send Email or SMS

    • Move to pipeline stage

    • Assign to user

    • Add tag

    • Wait time or reminder

  • Basic personalization (name, business info)

  • Integration with existing CRM components (calendar, forms, pipelines)

🚫 Not Included:

  • Writing new contracts

  • Email copy longer than 3 sentences

  • Creating new products, tags, forms, or calendars beyond scope

  • Building funnels or websites

  • Complex conditional logic (if/else, advanced filters) — billed separately


5. Payment Terms

  • Each selected operation is billed individually prior to setup.

  • Phone Line Setup ($350) and AI Setup ($300) are billed separately as one-time services.

  • AI Monthly Service ($150/month) begins upon setup completion.

  • Full payment is required before any setup work begins.

  • All payments are non-refundable once setup has started.

  • Additional requests beyond the selected five (5) operations will be quoted separately.


6. What’s Not Included

This one-time setup does not include:

  • Ongoing CRM subscription fees

  • Future edits, updates, or troubleshooting after delivery

  • Branding, funnel development, or website design (except included form design)

  • Copywriting, strategy, or business consulting

  • Additional automations or integrations beyond the agreed scope

Any additional work will be quoted and billed separately.


7. Acceptable Use Policy

You agree to:

  • Use CRM, phone, and AI features lawfully and respectfully.

  • Avoid spam, unsolicited bulk messages, or misleading content.

  • Obtain explicit consent before sending SMS or automated messages.

  • Keep login credentials secure and limited to authorized users.

IDX.Marketing reserves the right to pause or terminate access if your usage violates carrier, platform, or compliance regulations.


8. Data Ownership & Responsibility

  • You retain full ownership of your CRM data and contact records.

  • IDX.Marketing is not responsible for data loss, user error, or misuse after setup completion.

  • Testing will be conducted before delivery; approval confirms acceptance of completed work.


9. Limitation of Liability

IDX.Marketing is not liable for:

  • Third-party outages or carrier interruptions

  • Message or call delivery failures

  • Non-compliant message issues or account penalties

  • Misuse or changes made after setup

Total liability is limited to the total setup fees paid under this Agreement.


10. Support

  • Basic support is provided during the setup phase.

  • Post-delivery support, updates, or training are billed separately.

  • Ongoing system access, communication usage, and AI monthly service fees are managed through your CRM provider.


11. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Florida, USA.
Any disputes shall be resolved in the courts of Orlando or Orange County, Florida.


Agreement & Acceptance

By submitting payment, the Client acknowledges and agrees that:

  • Each service (CRM setup, phone line, and AI setup) is a one-time setup unless stated otherwise.

  • AI access continues at $150/month for ongoing functionality and updates.

  • Communication usage (texts, calls, and emails) is billed separately on a pay-as-you-go basis.

  • All deliverables are final upon successful testing and client approval.

  • Revisions or new automations require a separate quote.

  • Payments are non-refundable once setup begins.
